The rules of the road.

These Terms of Service ("Terms") govern your access to and use of the Tyrex AI platform ("Tyrex", "we", "us", "our") — including the web application, the KENAL onboarding interview, the private knowledge base ("Data Studio"), workflows, connectors, and the Tyrex Marketplace (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.

• You must be at least 13 years old to use the Service, and at least 18 (or the age of majority in your jurisdiction) to subscribe to a paid plan or to buy or sell on the Marketplace.
• You must not be located in a country subject to an embargo or sanctioned under applicable law.
• You must not have been previously banned from the Service or have a history of fraud or abuse.
• By using the Service you represent that all information you provide is accurate and complete.

• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You must provide accurate registration information and keep it up to date.
• One account per person. Creating duplicate accounts to evade limits, free-tier quotas, or bans is a violation of these Terms.
• If you suspect unauthorized use of your account, notify us immediately at [email protected].
• We may suspend or close accounts that we reasonably believe are compromised, fraudulent, or in violation of these Terms.

Paid plans (currently Pro and Elite) are billed in advance on a recurring basis through our payment processor, Midtrans. By subscribing you agree to the plan pricing shown on our Pricing page at the time of purchase.

• Payment methods. We accept the payment methods Midtrans supports (bank transfer, virtual account, e-wallet, and cards). A Midtrans convenience fee may apply and will be shown before you confirm payment.
• Taxes. All prices are exclusive of applicable taxes (including Indonesia's 11% VAT/PPN) unless stated otherwise. Taxes will be added at checkout where required.
• Renewal. Subscriptions renew automatically at the end of each billing period until cancelled.
• Cancellation & downgrade. You may cancel or downgrade at any time from your Billing settings. Changes take effect at the end of your current billing period; you keep access to what you paid for until then. We do not provide partial refunds for unused time, except where required by law.
• Upgrades. Upgrading takes effect immediately and you will be charged the prorated difference, or the full amount of the new plan depending on how the upgrade is presented at checkout.
• Failed payments. If a payment fails, we will notify you and may suspend paid features until the outstanding amount is settled.
• Price changes. We may change plan prices with at least 30 days' notice. Price changes do not affect your current billing period and take effect on renewal.

You agree not to misuse the Service. Prohibited conduct includes:

• Using the Service for any unlawful purpose or in violation of Indonesia's Electronic Information and Transactions Law (UU ITE) or any applicable law.
• Uploading or generating content that is illegal, defamatory, fraudulent, or that infringes the rights of others (including copyright, trademark, privacy, or personality rights).
• Uploading child sexual abuse material, content that exploits or harms minors, malware, or content designed to deceive or defraud.
• Attempting to access other users' accounts, data, or knowledge bases, or circumventing access controls, rate limits, or quota systems.
• Reselling, redistributing, or providing unauthorized access to the Service, its models, or your account to third parties.
• Scraping, crawling, or bulk-extracting content from the Service beyond reasonable use.
• Using the Service to build a competing product or to replicate Tyrex's models or technology.
• Harassing, threatening, or impersonating others, or using your AI to do so.

We may investigate violations and take action, including limiting, throttling, suspending, or terminating accounts, without notice where we reasonably believe continued use would cause harm.

Tyrex uses large language models to generate responses. AI can make mistakes — it can be inaccurate, outdated, or produce content that seems confident but is wrong ("hallucinations"). Accordingly:

• AI outputs are provided for informational purposes only and are not professional advice (legal, medical, financial, or otherwise). Verify important information before relying on it.
• You are solely responsible for how you use AI outputs and for any decisions you make based on them.
• AI responses are not guaranteed to be unique to you, and similar prompts may produce similar responses for other users.
• Where your AI takes actions on your behalf (through workflows, connectors, or messaging), you are responsible for those actions and their consequences.

You retain all rights to the content you upload and the content you generate with the Service ("Your Content"), including your files, persona, chat history, and generated artifacts.

• You grant Tyrex a limited, non-exclusive, worldwide license to host, store, process, and display Your Content solely to operate and improve the Service for you, and as described in our Privacy Policy.
• You represent that you own or have the necessary rights to upload Your Content and that it does not violate these Terms or any law.
• If you publish content publicly (for example, a Marketplace listing or a public artifact), the license you grant Tyrex and other users extends to that public use.
• We do not claim ownership of Your Content, and we do not use it to train models shared with other users.

The Marketplace allows users to buy and sell datasets, tools, skills, plugins, and connectors ("Listings"). The following additional terms apply:

• Sellers. You must have the rights to everything in your Listing. You must not list personal data about identifiable individuals without their consent; where required, personal data is automatically stripped before a dataset goes live.
• Buyers. Purchased Listings are licensed to you under the license stated in the Listing (typically for use with the Service), not sold. You may not resell or redistribute a Listing except as expressly permitted.
• Fees & payments. Marketplace transactions are processed through Midtrans. Fees (including the Midtrans convenience fee and applicable taxes) are shown at checkout. Tyrex may charge a platform fee on sales, which will be disclosed before you list.
• Review & takedown. We may review Listings, and we may remove or disable Listings that violate these Terms, our policies, or the law — including alleged copyright or trademark infringements.
• Disputes. Tyrex is not a party to transactions between buyers and sellers beyond facilitating them. We will use reasonable efforts to help resolve disputes but are not obligated to arbitrate them.

The Service may connect to third-party services (Google, GitHub, Slack, and others) through connectors. When you connect a service:

• The third party's own terms of service and privacy policy apply to their handling of your data, and you agree to comply with them.
• Tyrex accesses the service only within the permission scopes you approve, and you can revoke access at any time from Settings → Connectors.
• We are not responsible for the availability, reliability, or conduct of third-party services, and we may disable a connector if the provider requires it or it no longer functions.

Workflows let your AI perform scheduled or triggered actions — sending messages to Telegram or WhatsApp, posting, calling connectors, and more. You are responsible for configuring workflows correctly and for the actions your AI takes on your behalf. Tyrex is not liable for actions taken by your workflows, including unintended messages, posts, or payments. We may impose rate limits and may pause workflows that generate errors, excessive usage, or abuse.

The free tier includes a monthly token allowance (currently 1,000,000 tokens per month) for personal, non-commercial evaluation use. Usage above the allowance or beyond reasonable personal use may be throttled or require a paid plan. We monitor for abuse — including automated bulk usage, reselling of free access, and duplicate-account farming — and may restrict accounts we reasonably believe are abusing the free tier.

The Service — including its software, design, brand, logos, "Tyrex" and related marks, model names (RAPTOR, CARNO, REX), and documentation — is owned by Tyrex or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, reverse-engineer, or create derivative works of the Service. The AI models serving the Service may incorporate open-source components, licensed under their respective open-source licenses, which you must comply with where they apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED — INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE, OR THAT DEFECTS WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TYREX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) IDR 1,000,000. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT.

You agree to indemnify, defend, and hold harmless Tyrex and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to (a) Your Content, (b) your use of the Service, (c) your violation of these Terms or applicable law, or (d) your violation of the rights of any third party, including through your AI's actions.

• You may stop using the Service and delete your account at any time from your Settings.
• We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, if we reasonably suspect fraud or abuse, or as required by law. Where feasible, we will give you notice.
• Upon termination, your right to use the Service ceases. Sections of these Terms that by their nature should survive — including payment obligations, acceptable use, disclaimers, limitation of liability, indemnification, and governing law — will survive termination.
• If we terminate your account for breach, you are not entitled to a refund of prepaid amounts, except as required by law.

We may update these Terms from time to time. Material changes will be announced with at least 30 days' notice by email or an in-product notice. If you continue to use the Service after changes take effect, you accept the updated Terms. If you do not agree, you must stop using the Service before the changes take effect.

These Terms are governed by the laws of the Republic of Indonesia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Jakarta, Indonesia.
